Terms of Service.

These terms apply to use of the KometCode website and to IT services engagements (software development, Odoo ERP, QA, design, and staff augmentation). A signed proposal or contract between you and KometCode takes precedence where it conflicts with this page.
1. About KometCode
KometCode ("we", "us") is an IT services company with team presence in Ahmedabad, Gujarat and Windsor, Ontario. Contact: info@kometcode.com.
2. Engagements and website use
Service scope, deliverables, timelines, and fees are defined in a written proposal, statement of work, or contract ("Agreement") accepted by both parties. Content on kometcode-website.yashvardhansinh.workers.dev/ is for general information only and is not a binding offer until we confirm an Agreement in writing.
By submitting an enquiry, discussing a project with us, or signing an Agreement, you agree to these terms. If you act for a company, you confirm you have authority to bind that entity.
3. Deliverables, changes, and client cooperation
We use reasonable commercial efforts to meet agreed timelines. Delays caused by late feedback, missing access, or scope changes are not a breach by KometCode and may shift dates or cost. Scope changes after sign-off require a written change order when they affect price or schedule.
You agree to provide timely information and access, name a decision-maker, review deliverables within agreed windows, and ensure materials you supply do not infringe third-party rights or laws.
4. Payment
Unless your Agreement states otherwise:
- Invoices are due within 15 days of issue.
- Fixed projects may require an upfront deposit (typically 30–50%) before work starts.
- Staff augmentation is billed monthly as set out in the Agreement.
- Late payment may incur interest at 1.5% per month (or the legal maximum) and we may pause work after notice.
- Fees are exclusive of applicable taxes (GST/HST or equivalent), added where required.
5. Intellectual property
When you have paid all amounts due for custom work product created for you under an Agreement, we assign to you the IP in that deliverable, except:
- Our pre-existing tools, frameworks, and general-purpose components
- Open-source components, which remain under their licences
For staff augmentation, IP is governed by your employment or contractor terms with the augmented team member.
6. Confidentiality
Each party keeps the other’s non-public business information confidential and does not disclose it without consent, except where required by law (with notice where permitted). This survives termination for 3 years, unless an NDA sets a different period.
7. Warranties and liability
We perform services with reasonable skill and care using qualified professionals. Except as stated in your Agreement, deliverables are provided as is; we do not warrant error-free software or uninterrupted operation.
Our total liability for any claim relating to an engagement is limited to fees you paid us in the 3 months before the event giving rise to the claim. We are not liable for indirect, consequential, or lost-profit damages. You indemnify us against third-party claims arising from materials you provide or misuse of deliverables outside the Agreement.
8. Termination and disputes
Either party may end an engagement as set out in the Agreement. You pay for work completed through the termination date; we deliver completed work product after final payment. Material breach may allow immediate termination if not fixed within 14 days of written notice.
Disputes are governed by the laws of Gujarat, India for India-based clients and Ontario, Canada for North America and UK-based clients, unless your Agreement specifies otherwise. Parties will try to resolve disputes in good faith for 30 days before arbitration or litigation.
9. Website
Use our website lawfully. Do not attempt unauthorised access, send spam, or infringe our or others’ IP. Site content is not professional legal, financial, or technical advice.
10. Changes and contact
We may update these terms on this page (see “Last updated”). For active engagements, material changes will be communicated in writing where appropriate.
